Terms of Sale
1. Agreement
These Terms of Sale (“Terms”) govern all purchases of products (“Products”) from Pep Plus Labs LLC, doing business as Pep Plus Labs (“Pep Plus Labs”, “we”, “us”). By placing an order, you (“Buyer”) accept these Terms in full. If you do not accept them, do not place an order.
2. Research use only
All Products are supplied strictly for laboratory research use only. Products are not drugs, foods, cosmetics, medical devices, or dietary supplements. They have not been approved by the U.S. Food and Drug Administration or any other regulatory authority for the diagnosis, treatment, cure, or prevention of any disease or condition.
Products are not for human or veterinary consumption in any form, and must not be administered to humans or animals. Buyer agrees not to resell, relabel, repackage, or otherwise supply Products for any use involving human or animal administration.
3. Buyer eligibility and representations
By ordering, Buyer represents and warrants that:
- Buyer is at least 21 years of age and legally able to enter into this agreement;
- Buyer is a qualified professional, research institution, or laboratory acquiring Products for legitimate research;
- Buyer possesses the training, facilities, and equipment necessary to handle, store, and dispose of the Products safely;
- Buyer will comply with all applicable federal, state, local, and international laws and regulations governing the purchase, possession, use, and disposal of the Products;
- Buyer will not use or permit use of the Products for any purpose prohibited under Section 2.
4. Orders, quotes, and pricing
All quotes are valid for 30 days unless stated otherwise. Prices are quoted in Egyptian pounds (EGP) and exclude delivery and any applicable taxes. We reserve the right to correct pricing errors and to decline or cancel any order at our discretion, including where we believe an order may be inconsistent with these Terms.
5. Payment
We accept payment through Paymob and Fawry, and cash on delivery where offered. The available methods for a given order are shown at the time of quotation. Institutional purchase orders may be accepted subject to approval, with payment due net 30 from invoice date. Overdue balances may accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
6. Documentation
Each lot ships with a certificate of analysis identifying the lot number, purity determination, identity confirmation, and storage guidance. Analytical documentation describes the material as tested and does not constitute any representation regarding suitability for a particular research application.
7. Title and risk of loss
Title and risk of loss pass to Buyer upon delivery to the carrier. Claims for damage in transit must be directed to the carrier, with notice to us within 7 days of delivery.
8. Limited warranty
We warrant that Products conform to the specifications stated on their accompanying certificate of analysis at the time of shipment. This is the sole and exclusive warranty offered. EXCEPT AS EXPRESSLY STATED, PRODUCTS ARE PROVIDED “AS IS” AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to any Product or these Terms shall not exceed the purchase price paid for the Product giving rise to the claim. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, including loss of data, profits, or research results, regardless of the theory of liability.
10. Indemnification
Buyer shall indemnify, defend, and hold harmless Pep Plus Labs and its officers, employees, and agents from any claim, loss, liability, damage, or expense (including reasonable attorneys’ fees) arising from Buyer’s handling, use, storage, disposal, resale, or misuse of the Products, or from Buyer’s breach of these Terms — including in particular any breach of Section 2 or Section 3.
11. Compliance and export
Buyer is solely responsible for determining whether Products may lawfully be imported into, possessed in, or used within Buyer’s jurisdiction. Products may not be exported or re-exported in violation of applicable export control laws. We may decline to ship to any jurisdiction at our discretion.
12. Returns
Returns are governed by our Returns & Refunds Policy, incorporated here by reference.
13. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute shall be resolved exclusively in the state or federal courts located in Brazoria County, Texas, and the parties consent to that jurisdiction.
14. Changes
We may revise these Terms at any time. The version in effect on the date of your order governs that order.
